Should I set up a company or a trust?

A company caps tax on retained profits at 25% (base rate entities) or 30%, separates liability, and suits businesses reinvesting profits or taking on partners — but Division 7A governs how you take money out. A discretionary trust allows flexible distributions among family members and offers asset protection, but can't retain profits efficiently and needs resolutions before 30 June every year. Many Brisbane businesses end up with both — a trust owning shares in a trading company, or a company as trustee. The right answer depends on profit level, who else is involved, your risk exposure and how you plan to exit.

How much does it cost to set up a company in Australia?

Our all-in company setup is from $1,450, which includes the ASIC registration fee, constitution, share structure, ABN/TFN/GST registrations and a compliance calendar. Cheap $600 online registrations exist and do register a company — what they don't do is tell you whether a company was the right vehicle, or set up the share structure so a future partner or investor can be admitted without a restructure.

When should a sole trader incorporate?

Commonly when profits consistently exceed what you draw to live on (retained profits taxed at 25% or 30% rather than personal marginal rates), when liability exposure grows, when a client or licence requires a company, or when you're bringing someone else in. There's no universal threshold — we model it against your actual numbers, including the extra compliance cost.

Do I need a corporate trustee for my trust?

It costs more up front but is usually the better long-term choice: it keeps asset titles stable when trustees change, limits trustee liability, and is generally required by lenders for trusts holding property. Individual trustees are cheaper and fine for simple, low-risk arrangements.

Can I move my existing business into a company without paying tax?

Sometimes. CGT rollovers — including the small business restructure rollover — allow eligible businesses to transfer assets without an immediate CGT liability, subject to conditions. Stamp duty, loan re-documentation and contract novation still cost money. We cost the whole transition against the annual saving before recommending it.

What is a director ID and do I need one?

Yes — every company director must have a director identification number, applied for personally through ABRS with myGovID verification. We can't apply on your behalf, but we walk you through it as part of setup.

What ongoing costs come with a company?

The ASIC annual review fee, the company tax return and financial statements (from $900), and any bookkeeping and BAS. Budget $2,000–$4,000 a year in compliance for a small trading company — which is exactly why the structure decision should be modelled rather than assumed.
